Agreement between User and/or Member and Woody’s Workshop Pte Ltd
These Terms and Conditions (the “Agreement” or “Terms and Conditions”) will be applicable and govern any agreement between you and Woody’s Workshop Pte Ltd (hereinafter referred to as “Woody’s Workshop Pte Ltd” or “Woody’s Workshop” or "WoodysWorkshop.com" or “Woodys”) under which WoodysWorkshop.com will provide you the Will-making Product and any other services as may be offered at WoodysWorkshop.com from time to time (collectively “the Service”). WoodysWorkshop.com is made up of various web pages operated by Woody’s Workshop Pte Ltd. The Service is offered to you with the condition that you accept the terms & conditions herein provided and the notices in this document.
If you have not reached 21 years of age or if you DO NOT accept these terms and conditions, or the notices upon which the Service is provided by WoodysWorkshop.com, please do not proceed further and use WoodysWorkshop.com.
Once you have commenced using WoodysWorkshop.com, you will be taken to have agreed and have accepted all the terms & conditions, and the notices in this document. This will include your acceptance of our Disclaimer of Liabilities.
All the terms & conditions herein shall apply to you upon your entering the Premises or any premises operated by Woody’s Workshop Pte Ltd, whether you have successfully booked a Workshop Table for use and irregardless of whether our system has received or acknowledge receipt of your payment or payments in respect of your booking on our system to reserve the use of our Workshop Tables.
“Using” WoodysWorkshop.com, means taking actions like browsing our web pages, clicking on links, uploading information and data, creating an account with WoodysWorkshop.com, booking a Workshop Table, sending us an email and in any other way communicated with us.

1 Nature of Contract : At all times, the Premises remain in our exclusive possession and control and does not create any lease, tenancy or proprietary interest in land, in your favour with respect to your use of the workshop tables.

2 House Rules : There will be House Rules applicable to your use of the workshop tables, which are incorporated into these terms and conditions and you shall be required to observe and abide by the rules stated in the House Rules and you shall accept that any breach of these House Rules shall be a breach of the terms and conditions of the Agreement between you and us. These House Rules will be enforced to ensure that all members have a safe and conducive environment to work in.

3 No liability for sudden unavailability of Workshop Tables for Use : If for any unforeseen or unfortunate reason we cannot provide the use of a Workshop Table that you have booked, we will have no liability to You for any loss or damage but we shall make full refund of such booking fees that you have paid, to you within 24 hours of such unfortunate incident.

4 Automative Renewal & Applicability of the Terms and Conditions herein. All the Terms and Conditions herein shall apply to you upon your entering the Premises, whether you have successfully booked a Workshop Table for use and irregardless of whether our system has received or acknowledge receipt of your payment or payments in respect of your booking on our system to reserve the use of our Workshop Tables.
1. 5 Availability at the start of an agreement: If for any unfortunate reason We cannot provide the Workshop Table or deliver any products ordered by you any other services advertised by us, we will have no liability to you for any loss or damage but we will make full refund to you of any undelivered services, products, or unused period of any Workshop Table.
MEMBERSHIP SIGN UP, IDENTIFICATIONS & PAYMENTS
2. 1 We reserves the right to require you to submit the required documents of identification (“the ID Documentation”), and reserves the right, at its absolute discretion, to terminate any agreement entered into with you if the ID Documentation is not received.
2. 2 We reserve the right to request a security deposit (“the Deposit”) from you for use of the Workshop Table. The Deposit shall not be deemed as an advanced payment. In the event of any withdrawal from the Deposit by us due to default of the Member, you shall replace any such sum withdrawn within 14 days of being notified of such withdrawal. Such deduction shall not be deemed to have waived any breach by you of this Agreement. The Deposit or such part thereof shall be refunded to you within 10 days after termination of this Agreement subject to all outstanding payments being settled in full and you providing sufficient information so that the refund can be effected by us. If you fails to provide such information or demand the refund of the deposit within 360 days after the Termination Date the Deposit shall be deemed to be forfeited to Woody’s Workshop Pte Ltd.
2. 3 Where you have elected to pay us by credit card, you are deemed to have authorised Woody’s Workshop Pte Ltd to deduct from your credit card any outstanding payments and the Goods & Services Tax payable, in advance. In respect of any partial period, a pro-rata adjustment shall be made.
2. 4 You irrevocably authorises Woody’s Workshop Pte Ltd to deduct all amounts charged to the to you on such credit card at any time for unpaid fees or products sold to you. The authorisation will remain in effect until you have cancelled in writing of any changes in the account information provided or termination of this authorisation. If a charge is declined or reversed by the credit card issuer or network, you hereby agree to pay Woody’s Workshop Pte Ltd a service charge and to reimburse Woody’s Workshop Pte Ltd for all reasonable costs of collection. Your credit card issuer may also assess its customary charge for such transactions.
2. 5 In the event that your payments by credit card is not successful or declined by your credit card issuer, then no agreement shall be deemed to have been formed between yourself and Woody’s Workshop Pte Ltd in respect of any agreement to provide you with a Workshop Table or any products.
(i) Suspend partial or all services provided by WOODY’S WORKSHOP PTE LTD to you including, but not limited to telephone and mail service.
(ii) Block Member access to the hot desk and any dedicated storage and change the lock without prior notice
(iii) Vacate any dedicated storage
(iv) Claim all costs including legal fees associated with recovering all monies owed to WOODY’S WORKSHOP PTE LTD from the Member
(v) Charge a reactivation fee
(g) You shall pay all sums due to WOODY’S WORKSHOP PTE LTD under this Agreement without any deduction or set off.
(h) You shall pay for all bank charges, exchange rate differences, currency adjustments and other such charges related to rental and services.
(i) Online specials are not valid for current clients of WOODY’S WORKSHOP PTE LTD within the city being subscribed and new clients may only sign up for 1 online special per lifetime per city. In the event that you signs up on more than one occasion you shall be charged the full License Fee without discount. In addition, WOODY’S WORKSHOP PTE LTD reserves the right to review and reject any online sign up at its sole discretion, under such rejection WOODY’S WORKSHOP PTE LTD shall refund any monies paid in full.
We may put an end to an agreement immediately by giving You notice if (a) You become insolvent or bankrupt; or (b) You breach one of your obligations which cannot be put right, or which We have given You notice to put right and which You have failed to put right within 14 days of that notice; or (c) Your conduct, or that of someone at the Centre with Your permission or invitation, is incompatible with ordinary office use and, (i) that conduct continues despite You having been given notice, or (ii) that conduct is material enough (in Our reasonable opinion) to warrant immediate termination; or (d) You are in breach of the “Compliance With Law” clause below. If We put an end to an agreement for any of the reasons referred to in this clause it does not put an end to any of Your financial obligations, including, without limitation, for the remainder of the period for which Your agreement would have lasted if We had not terminated it.
When an agreement ends You must vacate Your accommodation immediately, leaving it in the same state and condition as it was when You took it. Upon Your departure or if You choose to relocate to a different room within a Centre, We will charge a fixed office restoration service fee to cover normal cleaning and any costs incurred to return the accommodation to its original condition and state. This fee will differ by location. We reserve the right to charge additional reasonable fees for any repairs needed above and beyond normal wear and tear. If You leave any property in the Centre We may dispose it off at Your cost in any way we choose without owing You any responsibility for it or any proceeds of sale. If You continue to use the accommodation when an agreement has ended, You are responsible for any loss, claim or liability We may incur as a result of Your failure to vacate on time.
21.9. ACCESS CARDS: In the case you or your team members misplace any access cards that's been issued to you, please let our Community Manager know immediately so the card can be deactivated immediately due to security reasons. A new card will be issued to you at a cost of Rs 500+GST which will be charged to your account.
3. TAXES
Any amount payable by you under this Agreement will be exclusive of local taxes including, but not limited to goods and services tax. If any supply made by WOODY’S WORKSHOP PTE LTD under this Agreement is a taxable supply, WOODY’S WORKSHOP PTE LTD must provide you with a valid invoice usable for taxation purposes and you must pay an additional amount to WOODY’S WORKSHOP PTE LTD which is equal to the consideration payable by you for relevant supply multiplied by the prevailing local tax rate. This includes taxes, stamp duties or other documentary fees.
4. TERMINATION
Termination of this Agreement will be subject to the following terms:
(a) This agreement shall automatically roll over for successive periods equal to the first period unless either party gives written notice to terminate the agreement one (1) month prior to scheduled end date of the current license period.
(b) You will be released from its obligations under this Agreement and allowed to terminate prior to the End Date of this Agreement subject to you paying WOODY’S WORKSHOP PTE LTD the full Plan Fee for the unexpired term together with all other outstanding invoices and Penalties (if any). Upon settlement of these terms received by TEC, any Deposit will then directly be refunded to the Member.
(c) This Agreement may be terminated forthwith in the event of any breach of the obligations on the part of the Member. WOODY’S WORKSHOP PTE LTD shall be entitled (but not obliged) to retain any personal effects or other belongings of you until all arrears owed to WOODY’S WORKSHOP PTE LTD have been paid or other loss made good. In the event of non-payment within 14 days WOODY’S WORKSHOP PTE LTD shall be entitled to dispose of any goods retained in settlement of any arrears and any cost of such disposal without prior notice or approval.
(d) The Executive Centre reserves the right to terminate this agreement if there is inappropriate activity or incident caused by the Member.
(e) Upon termination of this Agreement, a cleaning fee will be charged per subscriber/workspace/plan to you to cover the routine cost of cleaning and repainting the accommodation to return it to its original condition in addition to general maintenance to the common areas of the Premise in which you have had access. This fee only applies to Dedicated Desk plan, Day Office (10 days), and Day Office Members.
(f) If you terminates its subscription, you must return all keys (if any) and other means of access to the Centre, cease to use TEC’s address on all of its company documents, business registration, and marketing materials. WOODY’S WORKSHOP PTE LTD reserves the right to continue billing you at listed plan rates for each month that you continues to utilise TEC’s information on said documents and materials beyond the End Date of this Agreement, and to litigate if it deems appropriate. In the event you has lost any keys or access cards to the Centre, you must pay the replacement fee of such lost items.
5. REFUNDS
You shall have 14 days to dispute a charge from the invoice due date. WOODY’S WORKSHOP PTE LTD will only provide a refund in the event that an incorrect amount has been charged to the client.
6. MEMBER’S RIGHTS AND RESPONSIBILITIES
You shall not:
(a) Conduct himself/herself in an unprofessional and irresponsible manner or act in any way that may cause nuisance, annoyance or injury to the other Members/users of WOODY’S WORKSHOP PTE LTD centres.
(b) Occupy space for commercial display, product display, storage, lodging, sleeping, or for immoral or illegal purposes.
(c) Leave personal belongings unattended. WOODY’S WORKSHOP PTE LTD is not responsible for any loss or damage of personal belongings. Unattended personal belongings might be removed by on-duty WOODY’S WORKSHOP PTE LTD team members.
(d) Impede or interfere with TEC’s right of possession, control of the Centre and operations.
(e) Use the Centre otherwise than for the Member’s business and in any event shall not permit the Centre, Plan Inclusions or Services provided, to be used for any illegal activity.
(f) Interfere with the conduct of TEC’s business and during the term of this Agreement and for 6 months thereafter shall not offer employment to or hire directly or indirectly any staff of TEC. If you employs directly or indirectly any member of TEC’s staff during such period, you shall pay to WOODY’S WORKSHOP PTE LTD within seven (7) days of the said member of staff commencing his or her new employment a recruitment fee equal to 25% of the said first year gross salary or hire costs including guaranteed bonuses or benefits.
(g) By way of commission payable to WOODY’S WORKSHOP PTE LTD by the Member, you agrees that, in the event that you entices, convinces or otherwise causes an existing Member of WOODY’S WORKSHOP PTE LTD to vacate the Premises, to pay to WOODY’S WORKSHOP PTE LTD a commission equal to 12-month’s rental of the company that has been enticed or convinced to vacate the Premises.
(h) Alter, install, remove nor damage any furniture, fixtures, decorative materials, office equipment, IT cabling and telecommunications tools from within TEC’s Coworking Space, allocated desks, dedicated workspaces and common areas, in which the Members have had access. WOODY’S WORKSHOP PTE LTD shall have the right to claim compensation from you for repairs, replacement, loss or damages.
You shall:
(a) Observe and adhere to all the rules and regulations updated from time to time made by WOODY’S WORKSHOP PTE LTD for the management of the Centre.
(b) Agree that TEC’s Coworking Space, allocated desks and dedicated workspaces are under 24-hour CCTV surveillance. WOODY’S WORKSHOP PTE LTD will only provide CCTV footage based on the request of local law enforcer, complying to local enforcement law.
(c) Be liable for any damage caused by you or by those in WOODY’S WORKSHOP PTE LTD Centres with the Member’s permission or at the Member’s invitation, whether express or implied including but not limited to all the Member’s employees, contractors, agents or other persons present at WOODY’S WORKSHOP PTE LTD Centres. In the event of such damage, WOODY’S WORKSHOP PTE LTD shall be entitled to take all steps necessary to rectify the same.
(d) Be required to formally check in and check out of the Centre upon both entry and departure.
(e) Vacate the daily allocated office unit along with all personal belongings prior or at the end of every business day. This only applies to Day Office (10 days) or Day Office Members.
7. OWNER’S RIGHTS AND RESPONSIBILITIES
WOODY’S WORKSHOP PTE LTD shall:
(a) Keep the facilities in the Centre in working order and proper cleaned and equipped
(b) Have the ultimate right to remove you from the Centre
(c) Provide you with an alternative centre should WOODY’S WORKSHOP PTE LTD require you to move during the term of subsequent terms of this Agreement.
(d) Provide reception and switchboard services during normal opening hours, Monday to Friday (excluding official public holidays). Subject to TEC’s discretion, which will be communicated to all members well in advance.
(e) Reserve the right to allocate a full business day of coworking usage to the Member’s account should you not check in or check out of the Centre when WOODY’S WORKSHOP PTE LTD has reasonable belief that you accessed the premises. WOODY’S WORKSHOP PTE LTD Team will openly communicate this with you before any final allocation is made.
8. GENERAL
(a) This Agreement is personal and is not assignable.
(b) All notices must be in writing or email. Notices to either party will be considered served if mailed by registered post or by email to the addresses or emails specified overleaf.
(c) The invalidity or unenforceability of any provision of this Agreement shall not affect or impair the validity of any other provision. No waiver of any default of you shall be implied from any failure by WOODY’S WORKSHOP PTE LTD to take action with respect to such default.
(d) Where you comprises more than one individual, such individuals shall be jointly and severally liable to observe and perform the Member’s obligations under this Agreement.
(e) This Agreement supersedes any prior agreements and embodies the entire Agreement between you and WOODY’S WORKSHOP PTE LTD and may not be modified, changed or altered in any way except as agreed by both parties in writing. This Agreement shall be interpreted and enforced in accordance with the national and local laws in which the Centre is located.
(f) Membership is non-transferrable to other parties or individuals, without the express permission of The Executive Centre.
